LPA Law advises the founders of TNT Group on its sale to PM Studio Group<\/h2>\n

LPA Law advised the founders of TNT Group on the sale of the group to PM Studio Group, a leading provider of gifting, secondary packaging and bespoke accessories for luxury brands, with a team led by partner Nicolas Vanderchmitt<\/a>.<\/p>\n

The acquisition creates an international premium packaging business with combined revenues of approximately \u20ac130 million and nearly 150 employees worldwide.
\nFounded in 2013, TNT Group specialises in premium primary and secondary packaging solutions for the beauty and wines & spirits industries. With operations in Hong Kong, Paris and New York, the group works with leading luxury houses and niche brands to develop bespoke packaging solutions, drawing on its expertise in engineering, innovation and eco-design.<\/p>\n

Backed by Andera Partners since 2024, PM Studio Group is pursuing its international expansion strategy through this acquisition while further strengthening its offering in the luxury packaging sector.
\nThomas Diezinger, co-founder of TNT Group, commented: \u201cWe are approaching this new chapter with enthusiasm and eagerness. We are creating a global spearhead in packaging<\/em>\u201d.<\/p>\n

LPA Law advised the founders of TNT Group throughout this cross-border transaction, from the negotiation of the sale documentation to the successful closing of the deal. The firm also advised them on the structuring of their reinvestment in the combined group, alongside TNT Group\u2019s key managers. The transaction brought together LPA Law\u2019s corporate and tax expertise across Europe and Asia.

The sellers were also advised by Oaklins France as M&A adviser and PwC on the financial vendor due diligence. PM Studio Group was notably advised by Hogan Lovells Cadwalader, UGGC Avocats, Oderis and Finaxeed.
